Terms of Service

1. Who you are contracting with

Compliance Tracker (“the Service”) is operated by Leadership by Design (Pty) Ltd (registered name LEADERSHIPBYDESIGN PTY LTD), a private company registered in South Africa, registration number 2021/685690/07, VAT number 4600307476 (“we”, “us”, “our”). Registered office: 112 11th Avenue, Fairland, Johannesburg, 2030. Contact: hello@compliancetracker.co.za. By creating an account or otherwise using the Service, you agree to these Terms of Service.

2. The Service

Compliance Tracker is a software-as-a-service tool that helps accounting and bookkeeping practices track recurring statutory compliance deadlines for their client companies and send reminders. It is reminder-based only: it does not connect to, submit to or verify anything with CIPC, SARS or any other authority, and dates are calculated from the information you enter. You remain responsible for your and your clients’ filings and for checking deadlines against official sources.

3. Eligibility and accounts

You must be at least 18 years old, or have the authority to bind the organisation on whose behalf you use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. You confirm that you are entitled to load your clients’ contact details into the Service and to send them reminders.

4. Acceptable use

You agree not to:

  • use the Service for any unlawful, fraudulent or deceptive purpose;
  • send spam or other unsolicited communications through the Service;
  • infringe anyone’s intellectual property or privacy rights;
  • upload malware, probe or test the Service’s vulnerabilities, or interfere with its security or operation;
  • scrape, reverse engineer, resell or redistribute the Service, except as expressly permitted by us.

5. Intellectual property

We retain all rights in the Service, its software, design and branding. You retain ownership of the data you enter, and you grant us a limited licence to host and process it solely to provide the Service.

6. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns.

Subscription billing, taxes, renewals, cancellations and refunds for card payments are governed by Paddle’s Checkout / Buyer Terms. Every plan starts with a 30-day free trial without a card. Subscriptions renew automatically (monthly or annually) until cancelled; you can cancel any time from your billing page. Firm plan extra clients over 150 are billed at R30 excl. VAT per client per month based on your active client count. If you choose to pay by bank EFT, you pay our invoice directly using the invoice number as the reference. See our Refund Policy.

7. Service level

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. Reminder emails depend on third-party email delivery and may be delayed or filtered.

8. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid for the Service in the 12 months before the claim. We are not liable for any indirect, incidental, special or consequential damages, including loss of profits, data or goodwill. We are not liable for penalties, interest or losses arising from missed or late filings. Nothing in these terms limits liability that cannot be excluded by law.

9. Suspension and termination

We may suspend or terminate your access if you breach these terms or if required by law. You may cancel at any time from your billing page. After termination, we will give you a reasonable window to export your data before it is deleted.

10. Changes

We may update these terms from time to time. If we make material changes, we will notify you by email or in the Service. Continuing to use the Service after changes take effect means you accept the updated terms.

11. Governing law

These terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction over any dispute arising from them.

12. POPIA Information Officer

In terms of the Protection of Personal Information Act, 2013 (POPIA), our designated Information Officer is Kevin Britz. For any request about your personal information (access, correction, deletion or objection) or any privacy complaint, email privacy@compliancetracker.co.za. You also have the right to lodge a complaint with the Information Regulator (South Africa): inforeg.org.za.
